- Work with the Head of Legal to provide legal support and advice on business development initiatives, including joint ventures, partnerships, mergers and acquisitions, and other strategic collaborations.
- Collaborate with business development teams to analyse market trends, regulatory changes, and competitive landscapes to identify opportunities for growth and mitigate risks
- Work with the Head of Governance to assess governance requirements and obtain necessary approvals, draft appropriate documents and provide advice on general corporate governance issues. Ensure that the company governance framework is incorporated into negotiated contracts.
- Work with the Head of Legal to develop JV documents that align with governance framework. Draft, review, and negotiate a variety of commercial contracts, ensuring alignment with the organisation's strategic goals and compliance with applicable laws. Actively advise in the negotiation of key commercial contracts, including NDA's, MOU's/Term Sheets, collaboration agreements, power purchase agreements, shareholder agreements and joint venture agreements.
- Advice on JV models and deal strategy. Advice on JV policies and competition aspects of JVs. Take a proactive role in finding solutions to overcome obstacles and in the management and mitigation of risks.
- Liaise with and manage external counsel on specialist matters as required, ensuring effective coordination with key internal and external stakeholders to deliver projects and transactions in line with agreed timelines and objectives. Collaborate closely with legal colleagues across the business to share knowledge and maintain a consistent and aligned approach on legal matters.

- Proactively participate in the Performance Management process to ensure delivery of own, and the wider team's objectives.
- Qualified Solicitor or Barrister in Ireland with a minimum of 6 years' post-qualification experience (mid/top tier firm and/or in-house).
- Proven experience supporting project development, joint ventures and M&A transactions.
- Strong understanding of corporate structuring, governance and regulatory compliance
- Familiarity with tax, finance and accounting principles as they relate to JV structures.
- Experience in energy, infrastructure or large capital projects is advantageous.
- Demonstrated ability to manage stakeholders, lead legal workstreams and deliver commercially focused advice.
- Proficient in MS Office; familiarity with Legal Case Management Systems and strong organisational skills preferred.
